DRAFT — for review by a lawyerThis text has no legal effect yet. Values in brackets [LIKE THIS] are missing and will be filled in.
Points for the lawyer (14)
  1. Missing company details: [COMPANY REG. NO. (GEMI)], [VAT NO.], [TAX OFFICE (DOY)], [CONTACT PHONE]. The address support@gymbly.app is temporary: the mailbox does not exist yet.
  2. Assumption: the provider (TBHUB) operates as an online intermediation platform for court bookings; the contract for the court is concluded between the player and the venue (efood model). The information obligations of Regulation (EU) 2019/1150 (P2B) and Regulation (EU) 2022/2065 (DSA) for small platforms should be checked.
  3. Assumption: the «Service fee» is TBHUB's charge to the player for using the platform, including 24 % VAT, for which a Receipt for Services Rendered (Απόδειξη Παροχής Υπηρεσιών) is issued through myDATA. The type of tax document and the VAT should be checked by an accountant/lawyer.
  4. Assumption: the service fee is NOT refunded when the player cancels, when the venue cancels, or when the booking is cancelled automatically (did not fill / the shares were not paid). It should be checked whether this is permissible or an unfair term (Law 2251/1994, Article 2) and whether it must be shown more prominently before payment (today it appears below the payment button).
  5. Assumption: the 14-day right of withdrawal does not apply to bookings of sports facilities for a specific date (Directive 2011/83/EU, Article 16(l) — point ιβ΄ in the Greek version — and Law 2251/1994). It should be checked whether the exception also covers the platform's service fee.
  6. Assumption: minimum age 16 for an account of your own; younger people only through a parent/guardian. The code does NOT check age today (sign-up does not ask for a date of birth).
  7. Assumption: Greek law, courts of Athens. For consumers, this must not deprive them of the protection of their place of residence (Rome I Regulation, Article 6; Brussels Ia Regulation, Article 18).
  8. Assumption for businesses: the subscription is B2B; cancellation through the Stripe portal takes effect at the end of the current monthly period (this is how the portal is configured in the code, «at_period_end»); no refund for part of a month.
  9. The code does NOT restrict access today when the trial ends without a card or when a payment fails: the sections «Trial period» and «Billing and invoices» describe a right, not an automatic function. The policy must be decided ([GRACE PERIOD AFTER EXPIRY]).
  10. Liability cap towards businesses: [LIABILITY CAP, e.g. the subscription fees of the last 12 months] — to be decided.
  11. The Data Processing Agreement (Article 28 GDPR) is given here in summary (section «Processing of data on behalf of the business»); a separate, complete document with an annex of security measures and a list of sub-processors may be needed.
  12. Businesses additionally accept Stripe's Connected Account Agreement when they enable online payments. The reference should be checked.
  13. Decision of 20/10/2026: when the venue cancels from the front desk a booking paid in Play, ONLY the court price is refunded; the service fee stays with TBHUB, even if the venue is at fault (e.g. rain, a breakdown). This should be checked carefully as a possible unfair term (Law 2251/1994), because the player loses money through no fault of their own; alternatively the venue could bear it.
  14. English version (21/10/2026): this English text is a convenience translation and states that the Greek version prevails in case of conflict. It should be checked whether this clause is enforceable towards consumers (in particular consumers in other EU countries, and the requirement of plain and intelligible language under Directive 93/13/EEC), and whether the app stores (App Store, Google Play) need the English version as the binding one for users outside Greece.

Terms of Use

Last updated: [EFFECTIVE DATE]

These terms apply to everyone who uses Gymbly: the players of Gymbly Play, the members of gyms who use their gym's app, and the businesses (gyms, studios, courts, sports centres) that use Gymbly to run their operations. Part A applies to everyone; Part B concerns players and Part C concerns businesses.

For how we handle your personal data, see the Privacy Policy.

English translation for convenience; in case of conflict the Greek version prevails.

A. General terms

1. Who we are

Gymbly and Gymbly Play are provided by the company TECHBUILDERS HUB ΜΟΝΟΠΡΟΣΩΠΗ Ι.Κ.Ε. (TECHBUILDERS HUB SINGLE MEMBER P.C.), trading as TECHBUILDERS HUB (hereinafter «TBHUB», «we»).

  • Registered office: Kolokotroni 61, 166 73 Voula, Greece
  • Company registration number (GEMI): [COMPANY REG. NO. (GEMI)]
  • VAT number: [VAT NO.] · Tax office: [TAX OFFICE (DOY)]
  • Email: support@gymbly.app [TEMPORARY EMAIL — NOT WORKING YET] · Phone: [CONTACT PHONE]
  • Website: gymbly.app

2. What Gymbly is

Under the name Gymbly we offer two services:

  • Gymbly — management software (SaaS) for gyms, studios, courts and sports centres: front desk, members and memberships, classes, court bookings, till, notifications. The business pays for it with a monthly subscription. It also includes the app that the members of each gym use.
  • Gymbly Play — an app and website for players: you find venues, book a court, join open matches, teams and tournaments, and have friends, a level and a ranking. Using Play is free; on bookings paid inside the app a «Service fee» is added (see Booking and payment).

In these terms, a «venue» is the court or sports centre that accepts bookings through Gymbly Play, a «business» is any gym, studio or venue that has a Gymbly subscription, and a «member» is the customer of a gym who uses its app.

3. Acceptance of the terms

By creating an account or using the service you accept these terms. If you do not agree, do not use the service.

When you use the app of a gym, the gym's own terms and rules also apply (memberships, class cancellations, house rules). The gym is responsible for these.

4. Your account

  • One Gymbly account opens every gym and court that uses Gymbly. You give your real full name, email and mobile number; the mobile number may be verified with an SMS code.
  • You keep your password secret and you are responsible for everything done with your account. If you suspect that someone else is using it, change your password and write to us.
  • Where offered, you can also sign in with a Google or Apple account.
  • Age: to have an account of your own you must be at least 16 years old. For younger people, the account is opened and managed by their parent or guardian.

For the lawyer: Age 16: an assumption, to be checked (Article 8 GDPR and Article 21 of Law 4624/2019 set 15 years for consent in Greece; for the contract, civil law applies).

5. Proper use

You may not:

  • make bookings you do not intend to use, or hold slots in order to resell them;
  • upload content that is illegal, offensive or racist, or content you have no right to upload (e.g. photos of others without their consent);
  • harass other players, members or the staff of the venues;
  • falsify match results, levels or rankings;
  • try to bypass security, copy data in bulk, or use automated tools without our permission.

You can report content or behaviour that breaches these terms to support@gymbly.app. We may remove such content and, in serious or repeated cases, suspend the account (see Suspension and deletion of the account).

6. Your content

What you upload (profile photo, team names and logos, messages, comments, results) remains yours. You give us permission to store it and show it inside the service, where needed for it to work (e.g. your name and photo are shown to the players of a match). The permission ends when you delete it or delete your account, except for what has already become part of a shared history (e.g. a played result, which remains anonymised).

7. Intellectual property

The software, the «Gymbly» mark, the logos and the design of the service belong to TBHUB. We give you a personal, non-exclusive licence to use the service in accordance with these terms. The details of the venues (names, photos, prices) belong to the venues.

8. Availability and changes to the service

We do our best to keep the service running at all times, but there may be interruptions for maintenance, upgrades or for reasons outside our control (e.g. providers, network). We may change, add or remove features; when a change materially affects those who pay, we will inform them in advance.

9. Liability

  • You exercise and play at your own risk. The venue or the gym, not TBHUB, is responsible for the facilities, the safety and cleanliness of the venue, and for the classes and services of a gym.
  • The training programmes and nutrition estimates that the app produces (including with artificial intelligence) are general suggestions, not medical advice. If you have a health problem, consult a doctor.
  • The information shown by the venues (prices, opening hours, photos, amenities) is provided by the venues themselves.
  • We are not liable for damage from use contrary to these terms or from events outside our control. Nothing in these terms limits our liability for wilful misconduct or gross negligence, nor the rights the law gives you as a consumer.

10. Suspension and deletion of the account

You can delete your account whenever you want, inside the app or from the Account deletion page. On deletion, your details are erased or anonymised; bookings already played remain without your name and receipts are kept for as long as tax law requires (see Privacy Policy). Before deletion, your future bookings are cancelled and you leave your open matches, as if you had done it yourself, under the cancellation rules (the court price is refunded, not the service fee). If a booking can no longer be cancelled, the deletion takes place after it has passed.

We may suspend or close an account that seriously or repeatedly breaches these terms or the law, after informing you of the reason, unless this is prohibited or there is an immediate risk to others.

11. Changes to the terms

We may change these terms (e.g. for new features or changes in the law). You will see the date of the last change at the top. For material changes we will inform you inside the app or by email at least [NOTICE PERIOD, e.g. 15 days] before they take effect. If you do not agree, you can delete your account or (for businesses) cancel the subscription before they take effect.

12. Governing law and disputes

These terms are governed by Greek law. The courts of Athens have jurisdiction over any dispute, without prejudice to your rights as a consumer to bring proceedings before the courts of your place of residence.

As a consumer you can also turn for out-of-court resolution to the Hellenic Consumer Ombudsman (Συνήγορος του Καταναλωτή) or to another alternative dispute resolution body.

For the lawyer: Governing law/jurisdiction and ADR bodies: to be checked. The European ODR platform was discontinued in 2025 — to confirm that a link is no longer required.

13. Contact

For any question or complaint: support@gymbly.app [TEMPORARY EMAIL — NOT WORKING YET] or by post at our registered office (see Who we are). For matters concerning a booking (e.g. a closed court), contact the venue itself first; its phone number is on its page in Gymbly Play.

B. For players (Gymbly Play)

14. The role of Gymbly Play

Gymbly Play is a platform that puts you in touch with venues. The court booking is sold by the venue itself: the venue sets the prices, the opening hours and the cancellation policy, provides the court to you and issues the receipt for the court price. TBHUB provides you with the platform and charges the «Service fee» for it.

Venues that do not yet accept online payments are shown with «booking by phone» or «request a booking»: there the booking is made directly with the venue, without a service fee.

15. Booking and payment

  • Every booking you make in Gymbly Play at a venue with online payments is paid inside the app by card (and with Apple Pay or Google Pay, where your device supports them), through Stripe. Bookings made in Play cannot be paid at the court.
  • You make one payment, consisting of the court price (or your share) and the «Service fee». Before you pay you see both amounts separately, in euros, and the total.
  • The court price goes directly to the venue's Stripe account; the venue issues its own receipt for it. That is why the charge on your card statement normally shows the venue's name.
  • The «Service fee» is TBHUB's charge for using the platform; it includes 24 % VAT and goes to TBHUB, which issues you a Receipt for Services Rendered (Απόδειξη Παροχής Υπηρεσιών, transmitted to myDATA of the Independent Authority for Public Revenue, AADE), which you can see in your bookings or in your email.
  • You type your card details into Stripe's form; they never pass through our servers. The card fees are paid by the venue, not by you.
  • As soon as you start the payment, we hold the slot for you for 15 minutes. The booking is valid only when Stripe confirms that the payment has been made.

16. Cancellations and refunds

Each venue sets a free cancellation limit (e.g. «up to 24 hours before»), shown on the venue's page and in your booking. Refunds are made automatically to the same card:

  • The venue cancels: you are refunded the court price (or your share, if you paid separately); the service fee is not refunded.
  • You cancel, within the free cancellation limit: you are refunded the court price; the service fee is not refunded.
  • After the free cancellation limit: the app does not cancel the booking and does not make a refund. Contact the venue; its own policy applies. If the venue agrees and cancels the booking itself, the refund is made as in a cancellation by the venue.
  • Open match or team where everyone pays their own share: if by the deadline (the venue's free cancellation limit, and in any case at least 2 hours before) the match does not fill or not all shares are paid, the booking is cancelled automatically: those who paid are refunded their share of the court, the service fee is not refunded. The same applies when a team's regular slot that was not confirmed is cancelled automatically.
  • You leave such a match before the deadline: you are refunded your share of the court, not the service fee. After the deadline, leaving with a refund is not possible.
  • The organiser cancels the whole shared match within the limit: the organiser gets back their share of the court (not the service fee), while the other players get back the whole amount they paid.
  • The payment was completed after the 15 minutes had expired and the slot was given to someone else in the meantime (or the booking was cancelled): you are automatically refunded the whole amount.

When the service fee is refunded, TBHUB issues the corresponding credit document. When you see the money in your account depends on your bank (usually [REFUND TIME, e.g. 5–10 business days]).

17. Right of withdrawal

Court bookings are leisure services for a specific date and time. For this reason, under Article 16 of Directive 2011/83/EU (and Law 2251/1994), the 14-day right of withdrawal does not apply. The cancellation rules apply.

For the lawyer: To be checked: whether the exception also covers the platform's service fee, or whether an express mention/consent is needed before payment.

18. Open matches, teams, tournaments, ranking

  • When you join an open match, team or tournament, the other participants see your name, photo and level.
  • Level and ranking are calculated automatically from the results reported by the players. A result that is not disputed is confirmed by itself after 24 hours.
  • Tournaments and leagues are organised by their organiser (a player, team or venue), not by TBHUB. The organiser sets the rules, entry fees, deposit and prizes, and collects or pays them out personally, outside Gymbly; TBHUB does not guarantee or refund such amounts.
  • You can invite friends who do not have Gymbly by their mobile number; we send one SMS with the link. Do this only for people you know want to be invited.

C. For businesses (Gymbly)

19. The service for businesses

Gymbly for businesses is intended for those who carry on a professional activity (gyms, studios, courts, sports centres). Whoever registers a business declares that they have the authority to bind it. Consumer protection provisions do not apply to this relationship.

The business is responsible for the accounts of its staff (front desk, coaches) and for everything done with them.

20. Plans and prices

  • The subscription is monthly, on the plan the business chooses. Plan prices are shown on the home page and do not include 24 % VAT, which is added to the charge.
  • On plans that are also charged per member, active members are counted automatically every night and the difference is charged on the next monthly bill (with no pro-rata calculation for part of a month).
  • Additional services (e.g. set-up, an app with your own logo) are charged separately, only if the business requests them.
  • We may change prices with at least [PRICE CHANGE NOTICE PERIOD, e.g. 30 days] notice; the new price applies from the next billing period after the notice.

21. Trial period

Every new business starts with a free trial of 30 days for gyms and studios and 3 months for courts (Court plan), without a card. During the trial the business can add a card from Stripe's payment page; the first charge is made when the trial ends and then every month.

If no payment method has been added when the trial ends, we may restrict or suspend access after [GRACE PERIOD AFTER EXPIRY]. The business's data is not deleted because of this without warning.

22. Billing and invoices

  • The charge is made automatically to the card the business has provided, through Stripe, at the start of each monthly period.
  • Before adding the card, the business gives its billing details (company name, VAT number, tax office, address). For each payment TBHUB issues an Invoice for Services Rendered (Τιμολόγιο Παροχής Υπηρεσιών), transmitted to AADE's myDATA through the e-invoicing provider [E-INVOICING PROVIDER]. The receipt sent by Stripe is not a tax document.
  • If a payment fails, Stripe retries automatically and informs the business. If the debt remains, we may restrict or suspend access after notice.

23. Cancelling the subscription

The business cancels the subscription whenever it wants, without penalty, from the front desk's Settings → Subscription → Stripe customer portal (where it can also change the card and see the history). The cancellation takes effect at the end of the current monthly period; until then the service works normally. Amounts for part of a month are not refunded.

After termination, the business may request a copy of its data (e.g. members, memberships, bookings) within [RETENTION PERIOD AFTER TERMINATION, e.g. 30 days]; after that the data is deleted, except for what must be kept by law (e.g. invoices).

24. Online payments through Gymbly Play (for venues)

A venue accepts bookings with payment through Gymbly Play when it connects its own Stripe account from Settings. By connecting, the venue also accepts Stripe's terms for connected accounts (Stripe Connected Account Agreement). The venue:

  • is the seller of the booking: it sets prices, opening hours and the free cancellation limit in its Settings, provides the court and issues the receipt itself for the court price, in accordance with tax law;
  • receives the court price directly into its Stripe account; TBHUB never holds the venue's money;
  • pays Stripe's card fees for each payment and is responsible for payment disputes (chargebacks) and refunds concerning its services;
  • honours Play bookings like its own; if it cancels a booking paid in Play, the customer automatically gets back the court price (the service fee is not refunded);
  • is not charged the «Service fee»: the player pays it to TBHUB. Bookings entered by the front desk (cash or card at the court) have no service fee.

A venue without an active Stripe account is shown in Play with «booking by phone».

25. Obligations of the business

  • It enters the details of its members and customers into Gymbly (e.g. from an Excel file) only if it has a lawful basis and has informed them (see Processing of data on behalf of the business).
  • It sends marketing messages (SMS, notifications) only to those who have consented, in accordance with the law.
  • It enables the artificial intelligence features (AI Coach, nutrition) for its members only after informing them about their use.
  • It does not use the service for unlawful purposes and keeps its staff's passwords secure.

26. Liability towards businesses

The service is provided «as is», with reasonable care. TBHUB's total liability towards a business is limited to [LIABILITY CAP, e.g. the subscription amounts of the last 12 months], except for wilful misconduct or gross negligence. We are not liable for loss of profit or indirect damage.

27. Processing of data on behalf of the business (summary of the Data Processing Agreement, Article 28 GDPR)

For the data of its members and customers, the business is the controller and TBHUB is the processor acting on its behalf. This clause constitutes the data processing agreement between them:

  • Subject matter and duration: the operation of Gymbly for the business, for as long as the subscription lasts and until the data is returned or deleted.
  • Types of data: identity and contact details (name, mobile, email), memberships, payments and instalments, attendance and entries (QR), bookings, workouts, and — only if the business enables them and the member provides them — answers on goals and level, physical details, injuries, diet and allergies, data from wearables.
  • Data subjects: members, court customers, coaches and staff of the business.
  • Instructions: TBHUB processes the data only to provide the service and in accordance with the business's instructions (as given through its settings), unless the law requires otherwise.
  • Confidentiality and security: access only for those who need it and are bound by confidentiality; encrypted connection (https), passwords stored only as a hash, hosting in data centres in the EU, backups (Article 32 GDPR).
  • Access by the support team: TBHUB's team enters the business's front desk only to help, each time recording the reason; every entry (who, when, why, until when) is logged and shown to the business in Settings → «Gymbly support access».
  • Sub-processors: Hetzner (hosting, EU), [SMS PROVIDER] (sign-in codes and notifications), [EMAIL PROVIDER], [MAP PROVIDER], and — only if the business enables them — Anthropic (training programmes and nutrition estimates with AI). The business gives general authorisation for these; for each new one or change it will be informed [NOTICE PERIOD, e.g. 30 days] in advance and may object.
  • Transfers outside the EU: only with the safeguards of Chapter V GDPR (e.g. the EU–US Data Privacy Framework or Standard Contractual Clauses).
  • Assistance to the business: TBHUB helps the business respond to data subjects' requests (access, rectification, erasure, portability) and with its obligations on security, breach notification and impact assessment.
  • Data breach: TBHUB informs the business without undue delay and at the latest within [NOTIFICATION TIME, e.g. 48 hours] after becoming aware of it.
  • Termination: on termination of the subscription TBHUB returns (by export) or deletes the data, as set out in the section Cancelling the subscription, except for what must be kept by law.
  • Audits: TBHUB gives the business the information it needs to demonstrate compliance and accepts reasonable audits, with notice.

When a member has a single Gymbly account and also uses it in Gymbly Play, TBHUB is the controller for the Play data (see Privacy Policy).

For the lawyer: A separate, complete DPA text with annexes (security measures, list of sub-processors with country) is recommended, to be signed/accepted when the business registers.
